1. Agreement to Terms

Welcome to Ajooni AI. By accessing or using our platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

Ajooni AI is a privacy-first document processing application that uses artificial intelligence (AI) and optical character recognition (OCR) to extract, classify, and organize data from uploaded documents. The Service is operated by Ajooni AI, LLC (“we,” “us,” or “our”), a New Jersey limited liability company.

Please also review our Privacy Policy, which describes how we collect, use, and protect your information.

2. Service Description

Ajooni AI provides the following services:

• Extraction Center

  AI-powered document data extraction with batch processing, PDF preview, structured field extraction, and an integrated camera scanner with real-time edge detection on mobile and desktop

• Storage Facility

  Folder management with support for local device storage, Google Drive, and Dropbox. Includes thumbnail previews, sync indicators, drag-and-drop, batch operations, and AI-assisted folder routing

• Data Studio

  AI-powered analytics dashboards generated from your classified documents. Pre-built dashboards across financial, HR, sales, and operations, plus custom dashboards from natural-language prompts

• Workflows

  Build and run multi-stage document workflow templates: define stages, document requirements, and assignees (including contractors), and track live processes from start to finish. Workflows track approvals and progress only and do not process, hold, or transfer funds

• Organization & Team Management

  Create and manage organizations with role-based access control (Owner, Super Admin, Admin, Member), invite team members, and collaborate on document workflows

• User Settings & Personalization

  Customize your experience with multi-language support, theme preferences, two-factor authentication, notification preferences, and account management

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Pricing and Payments

4.1 Subscription Plans: Ajooni AI may offer various subscription plans with different features and pricing tiers. Some features may be available for free, while others require a paid subscription.

4.2 Payment Processing: All payment processing is securely handled by Stripe, a PCI-DSS compliant third-party payment processor. We do not store your credit card information on our servers.

4.3 Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge your payment method for all fees owed.

4.4 Price Changes: We reserve the right to modify our pricing with thirty (30) days’ notice. You may cancel your subscription before the new pricing takes effect.

4.5 Refunds: Subscription fees are generally non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period.

4.6 Failed Payments: If a payment fails, we may suspend your access to paid features until payment is successfully processed. Repeated payment failures may result in account termination.

4.7 Taxes: You are responsible for any applicable taxes, duties, or government charges. Prices listed do not include taxes unless explicitly stated.

5. User Accounts and Authentication

5.1 Account Creation: You may create an account using email and password registration or through Google OAuth 2.0 authentication. By creating an account, you represent that you are at least 18 years of age.

5.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We strongly recommend enabling two-factor authentication (2FA) for enhanced security.

5.3 Two-Factor Authentication: Ajooni AI supports two-factor authentication via time-based one-time password (TOTP) applications such as Google Authenticator, Authy, or Microsoft Authenticator. Backup codes are provided during setup for account recovery purposes.

5.4 Storage Options: You may choose to store processed documents on your local device/machine, in Google Drive, or in Dropbox. If you opt for a cloud provider, you authorize Ajooni AI to access that account solely for document storage purposes. We will only access files created by or explicitly shared with our application.

5.5 Organizations: You may create or join an organization to collaborate with team members. Organization owners and administrators can manage team membership, assign roles (Owner, Admin, Member), and control access to shared features. Organization owners may dissolve the organization, which requires canceling any active subscription first.

6. Document Processing and Data Handling

6.1 Temporary Processing: Documents uploaded to the Service are temporarily processed for AI extraction and analysis. During processing, documents may be sent to third-party AI APIs (including but not limited to Google Gemini and Google Vision API) for data extraction, classification, and analysis. Processed output documents are delivered to your designated storage location.

6.2 Deletion: Upon completion of processing and successful delivery of results, all uploaded documents and processed files are deleted from our servers. We do not maintain copies of your documents.

6.3 No Data Mining: We do not analyze, mine, sell, or share the contents of your documents for any purpose other than providing the Service.

6.4 Third-Party AI APIs: Our Service utilizes third-party AI APIs for document processing. These providers process your document data solely to fulfill our service request and are subject to their own data handling policies. We select providers that do not use your data for model training. See our Privacy Policy for additional details.

6.5 Local Storage: When you choose local storage, documents are saved directly to your device’s file system. You are solely responsible for managing, backing up, and securing locally stored documents. We have no access to or control over documents stored on your local device.

6.6 Cloud Storage: When you choose Google Drive or Dropbox as your storage location, documents are transferred directly to your account with that provider. We only access files created by or explicitly shared with our application. Your use of Google Drive is subject to Google’s Terms of Service and Privacy Policy. Your use of Dropbox is subject to Dropbox’s Terms of Service and Privacy Policy.

7. Sensitive Documents and Prohibited Content

7.1 User Acknowledgment: By using Ajooni AI, you acknowledge that:

• Documents you upload are temporarily processed through our servers and third-party AI APIs for data extraction purposes only.
• All uploaded documents and processed outputs are deleted from our servers upon completion of processing.
• You are solely responsible for ensuring you have the right to upload and process any documents you submit.
• You understand and accept the data handling practices described in our Privacy Policy.

7.2 HIPAA Notice: Ajooni AI is not a HIPAA-compliant service. You must not upload documents containing Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA). Ajooni AI, LLC assumes no liability for any PHI uploaded to the Service in violation of this provision.

7.3 Prohibited Content: You agree not to upload documents that contain:

• Protected Health Information (PHI) governed by HIPAA
• Illegal content or content that violates applicable law
• Malicious code, malware, or viruses
• Content that infringes upon the intellectual property rights of any third party
• Content that violates the privacy rights of others

8. User Responsibilities and Conduct

You agree not to:

• Upload or process illegal, harmful, or infringing content
• Attempt to circumvent security measures or access unauthorized areas
• Use the service to violate any applicable laws or regulations
• Interfere with or disrupt the service or servers
• Use automated systems to access the service without permission
• Reverse engineer, decompile, or attempt to extract source code
• Share account credentials or allow unauthorized access to your account
• Use the Service to develop a competing product

9. Platform Availability

9.1 Supported Platforms: Ajooni AI is available as a web application accessible from any modern browser, including as an installable web app (PWA) on iOS and Android. Native mobile applications for iOS and Android and a desktop application for Windows, macOS, and Linux are planned and not yet generally available.

9.2 Permissions: Our applications may request device permissions including camera access (for document scanning), storage access (for file management), and network access (for cloud synchronization).

9.3 Updates: We may periodically update our applications. You agree to accept such updates to continue using the service.

10. Intellectual Property Rights

10.1 Our Rights: All rights, title, and interest in Ajooni AI, including software, design, trademarks, and content, are owned by Ajooni AI, LLC and protected by intellectual property laws.

10.2 Your Content: You retain full ownership of all documents you scan or upload. We do not store your documents on our servers. We only process them temporarily to extract data and transfer them to your selected storage location. You grant us a limited, temporary license to process your content solely to provide the Service. This license terminates immediately upon completion of processing and deletion of your files from our systems.

10.3 Restrictions: You may not: (a) copy, modify, or distribute the Service; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) sublicense, sell, or lease the Service; or (d) use the Service to develop a competing product.

10.4 Open Source: Portions of our software may use open-source components. Such components are governed by their respective licenses.

11. Third-Party Services

11.1 AI Processing: Our Service utilizes third-party AI APIs, including Google Gemini and Google Vision API, for document processing, data extraction, and classification. Your document data is sent to these providers solely to fulfill processing requests. These providers are subject to their own terms and privacy policies. We select providers that do not use your data for model training by default.

11.2 Google Services: Our integration with Google Drive and Google OAuth is subject to Google's Terms of Service and Privacy Policy.

11.3 Stripe Payment Processing: All payment transactions are processed by Stripe, Inc. Your use of Stripe’s payment services is governed by Stripe’s Services Agreement and Privacy Policy. Stripe is a PCI Service Provider Level 1, the most stringent level of certification in the payments industry.

11.4 Third-Party Links: Our service may contain links to third-party websites or services. We are not responsible for their content or practices.

12. Data Privacy and Your Rights

12.1 Privacy Policy: Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12.2 NJDPA Compliance: As a New Jersey limited liability company, Ajooni AI complies with the New Jersey Data Privacy Act (NJDPA). New Jersey residents have specific rights regarding their personal data, including the right to access, correct, delete, and obtain a portable copy of their data, as well as the right to opt out of targeted advertising and profiling. Full details of these rights and how to exercise them are described in our Privacy Policy.

12.3 Data Deletion: You may request deletion of your personal data at any time by contacting us at support@ajooni.ai or through your account settings. We will process your request in accordance with applicable law.

12.4 Universal Opt-Out: We honor universal opt-out mechanisms (such as Global Privacy Control) as required by the NJDPA and other applicable state laws.

12.5 Consent: At the time of account registration, you will be asked to separately consent to our Terms of Service, Privacy Policy, and NJDPA data processing practices. These consents are collected independently and are not bundled together.

13. Disclaimers and Limitations

13.1 Service Availability: We strive to provide reliable service but cannot guarantee uninterrupted or error-free operation. The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 AI Accuracy: While our AI document detection and processing tools are designed to be accurate, we do not guarantee perfect results. AI and OCR processing may produce errors. Users should verify all processed documents before relying on them for any purpose.

13.3 Payment Processing: We are not responsible for any issues, errors, or delays in payment processing handled by Stripe. Any payment disputes should be directed to Stripe’s customer support.

13.4 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, AJOONI AI, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

13.5 Aggregate Liability: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ajooni AI, LLC and its Members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) the content of any documents you upload; or (e) your upload of documents containing Protected Health Information (PHI) in violation of Section 7.2.

15. Termination

15.1 By You: You may terminate your account at any time by canceling your subscription through your account settings, disconnecting any cloud storage integrations, and ceasing to use the service. You may also request account deletion through your user settings.

15.2 By Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include violation of these Terms, non-payment, or conduct that we determine is harmful to other users or to the Service.

15.3 Effect of Termination: Upon termination, your right to use the Service ceases immediately. Active subscriptions will not be automatically refunded unless required by law. Documents stored locally on your device or in your cloud storage accounts will remain accessible through those respective storage locations. Any data held on our servers (such as your profile and usage data) will be deleted in accordance with our Privacy Policy. Sections 10, 13, 14, 16, and 17 shall survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles.

16.2 Arbitration: Any dispute arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the State of New Jersey. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16.4 Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court.

17. General Provisions

17.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

17.2 Changes to Terms: We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. We may also provide notice through the application or via email. Your continued use of the Service after such changes constitutes acceptance.

17.3 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.4 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.5 Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.

17.6 United States Service: The Service is operated from the United States. If you are accessing the Service from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States. By using the Service, you consent to the transfer of your information to the United States.
